Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and VERT X Single Member P.C. (VERT X Μονοπρόσωπη Ι.Κ.Ε.), a private company incorporated under the laws of Greece, with its registered office in Thessaloniki, Greece, and registered with the General Commercial Registry (G.E.MI.) under number 179761606000, which operates Nous ("Nous", "we", "us"). These Terms govern your access to and use of the Nous platform, websites, and related services (together, the "Service").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a business, you represent that you have authority to bind that business, and "you" refers to that business. If you do not agree, do not use the Service.

Nous is a knowledge platform that helps a business organise what it knows and get plain-language, source-grounded answers from its own documents. The Service is provided on an ongoing basis, and we may add, change, or remove features over time to improve it.

You need an account to use most of the Service. You are responsible for keeping your account credentials secure and for all activity that happens under your account. Tell us promptly if you believe your account has been accessed without your authorisation.

You must be at least 18 years old and capable of forming a binding contract to use the Service.

You agree not to misuse the Service. In particular, you will not: upload content you do not have the right to use; use the Service to store or share unlawful, infringing, or harmful material; attempt to gain unauthorised access to the Service, other tenants, or their data; interfere with or disrupt the integrity or performance of the Service; or reverse-engineer, resell, or use the Service to build a competing product except to the extent this restriction is prohibited by law.

You are responsible for the content you upload and for ensuring your use of the Service complies with all laws that apply to you, including data-protection laws covering any personal data in your documents.

You own the documents, data, and other content you upload to the Service ("Your Content"). We do not claim ownership of Your Content.

You grant us a limited licence to host, store, process, and display Your Content solely to operate and provide the Service to you — for example, to index your documents so you can search them and to generate answers grounded in them. Neither Nous nor the third-party AI model providers we use train their models using Your Content.

You can export Your Content or ask us to delete it at any time. We will delete Your Content and associated indexes from our active systems within a reasonable period, subject to any legal obligations to retain certain information. Backup copies may persist temporarily before being automatically deleted. How we handle your data is described in our Privacy Notice.

Our handling of your data — including per-tenant isolation, encryption, access controls, and your export and deletion rights — is described in our Privacy Notice, which forms part of these Terms.

The Service relies on third-party infrastructure and AI model providers to function. We choose providers that support our commitments to you, including that Your Content is not used to train their models. We may replace or add third-party providers over time to improve or maintain the Service. Your use of the Service may also be subject to those providers’ terms where they apply.

The Service uses AI to generate answers grounded in your documents. While Nous is designed to cite its sources and answer from your own knowledge, AI-generated output can be incomplete, out of date, or incorrect. You should independently review and verify AI-generated answers before relying on them for important decisions, and you should not treat them as professional, legal, financial, or medical advice.

The Service, including its software, design, and content we provide (but excluding Your Content), is owned by Nous and protected by intellectual-property laws. These Terms do not grant you any right to our trademarks, logos, or branding except as needed to use the Service as intended.

Where the Service is offered on a paid basis, the fees, billing period, and payment terms are those agreed with you at sign-up or in a separate order. Unless stated otherwise, fees are exclusive of applicable taxes, which you are responsible for. We may change our fees by giving you reasonable advance notice.

The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that it will meet every requirement you have.

To the fullest extent permitted by law, Nous will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of the Service. Nothing in these Terms limits liability that cannot be limited by law.

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you materially breach these Terms or if we are required to by law. On termination, your right to use the Service ends; you may export Your Content before termination takes effect, and we will delete Your Content in line with our Privacy notice.

We may update these Terms from time to time. When we make material changes, we will update the date at the top of this page and, where appropriate, notify you. Your continued use of the Service after changes take effect means you accept the updated Terms.

We are not responsible for delays or failures in performance caused by events beyond our reasonable control, including natural disasters, war, terrorism, labour disputes, government acts, internet or network outages, or failures of third-party service providers.

These Terms are governed by the laws of Greece. Any dispute arising out of or relating to these Terms is subject to the exclusive jurisdiction of the courts of Thessaloniki, Greece, except where mandatory consumer-protection laws of your country of residence provide otherwise.
